“We believe that the InBev consent proposals are solely designed to enable InBev to take control of your board in order to facilitate InBev's acquisition of Anheuser-Busch pursuant to a proposal that your board has determined is inadequate and not in the best interests of the company's stockholders,” said Anheuser in its filing.
Belgian brewer InBev asked a Delaware court Tuesday to make a summary judgment -- and bypass having a trial -- on its lawsuit over the possible removal of all 13 directors of Anheuser-Busch Cos. Inc's board, Reuters reported.
“I do think it would be a shame if Bud is foreign-owned. I think we should be able to find an American company that is interested in purchasing Anheuser Busch if in fact Anheuser Busch feels that it's necessary to sell.”
Anheuser-Busch's lawsuit also said InBev's joint venture with the Cuban government, through which InBev brews, imports, sells and exports a variety of brands including Beck's, prevents the Belgian brewer from putting its North American headquarters in St. Louis.
The ad says the takeover would make for a stronger, more competitive global company. It says Budweiser would be expanded globally, and St. Louis would serve as North American headquarters.
